1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the Yatra Fleet website, applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.
Yatra Fleet operates a marketplace that connects customers with independent transportation providers and tour operators (“Partners”). Yatra Fleet is not a transport carrier and does not provide driving services.
2. Definitions
- Customer: an individual or entity that searches, requests, or books services via the Platform.
- Partner: an independent operator/agency offering rides, rentals, chauffeur services, or tours via the Platform.
- Listing: a Partner’s service offering (vehicle type, inclusions, routes, pricing, terms).
- Booking: a confirmed order for a Listing, subject to the applicable terms.
- Payout: the amount due to a Partner after fees, adjustments, and applicable taxes.
3. Eligibility; Account Registration
- You must be at least the age of majority in your jurisdiction and legally capable of entering contracts.
- Partners must complete verification and maintain valid permits, insurance, and other compliance documents.
- You are responsible for the accuracy of your account information and for keeping credentials secure.
4. Our Role (Marketplace Only)
The Platform facilitates discovery, communication, and transactions between Customers and Partners. Yatra Fleet does not control Partner operations, vehicles, drivers, or on-ground conduct. Partners act independently and are not employees, agents, or representatives of Yatra Fleet.
5. Listings, Bookings, and Performance
- Accuracy: Partners must ensure Listings are accurate, complete, and kept up to date.
- Confirmation: A Booking is confirmed when the Platform issues a confirmation. Pre-confirmation quotes are not guarantees.
- Performance: Partners are solely responsible for on-time service, vehicle condition, driver conduct, safety, and legal compliance.
- Customer duties: Customers must provide accurate pickup details, be reachable, and comply with reasonable instructions and local laws.
- Operational exceptions: Traffic, weather, strikes, or force majeure may impact timelines; reasonable adjustments may apply.
6. Pricing, Fees, Taxes & Payouts
- Transparency: Base fare, inclusions, and potential extras are shown before payment whenever feasible.
- Platform fees: The Platform may charge Customers and/or Partners fees per the Booking or Partner agreement.
- Taxes & government charges: Prices may exclude or include GST and other taxes/levies as applicable; Partners are responsible for their tax compliance.
- Payouts: After a completed Booking, Yatra Fleet (or its payment provider) will initiate Payouts to Partners on a defined schedule, less fees/adjustments.
- Chargebacks/Adjustments: If a Booking is contested, Yatra Fleet may withhold or reverse amounts in line with evidence and policies.
7. Cancellations, Changes & No-Shows
- Policy: Cancellations and changes are handled per the terms displayed at booking and/or in the Partner’s Listing.
- No-show: If a Customer/Partner fails to show or respond within a reasonable window, no-show rules may apply.
- Waiting time & extras: Charges for waiting, overtime, tolls, parking, detours, or additional stops follow pre-disclosed rules.
- Refunds: Where applicable, refunds are processed to the original payment method, net of fees per policy.
8. Acceptable Use & Prohibited Conduct
- No unlawful use, harassment, discrimination, or endangerment.
- No misrepresentation of identity, documents, permits, insurance, or vehicle details.
- No attempts to disrupt, reverse-engineer, or overload the Platform.
- No posting of illegal, infringing, or harmful content.
- Respect privacy and applicable road/transport laws at all times.
9. Ratings, Reviews & Feedback
- Ratings and reviews must be truthful and based on genuine experiences.
- Yatra Fleet may moderate or remove content that violates policies or laws.
- By submitting feedback, you grant Yatra Fleet a non-exclusive, worldwide, royalty-free license to use it for Platform operations and improvement.
10. Intellectual Property & Licenses
- The Platform and its content are owned by Yatra Fleet or its licensors and protected by law.
- Subject to these Terms, Yatra Fleet grants you a limited, non-exclusive, non-transferable license to use the Platform.
- Partners grant Yatra Fleet the rights needed to host, display, index, and promote their Listings and related content.
11. Privacy, Data & Communications
- Use of the Platform is also governed by our Privacy Policy (link from your site).
- You consent to receive service communications (email, SMS, WhatsApp, calls) related to your account and Bookings.
- We apply reasonable security measures but cannot guarantee absolute security.
12. Third-Party Services
The Platform may integrate maps, payments, analytics, or communications tools. These are subject to their own terms and privacy policies. Yatra Fleet is not responsible for third-party services.
13. Disclaimers & No Warranties
THE PLATFORM IS PROVIDED “AS IS”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YATRA FLEET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. PARTNERS ARE INDEPENDENT PROVIDERS; YATRA FLEET DOES NOT GUARANTEE ANY SPECIFIC OUTCOMES OR AVAILABILITY.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YATRA FLEET WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. IN ALL CASES, YATRA FLEET’S AGGREGATE LIABILITY RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) INR 10,000 OR (B) THE FEES YOU PAID TO YATRA FLEET IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to defend, indemnify, and hold harmless Yatra Fleet and its personnel from any claims, damages, liabilities, and expenses arising out of (a) your use of the Platform, (b) your violation of these Terms, (c) your interaction with another user, or (d) your Listings, content, vehicles, drivers, or services (for Partners).
16. Suspension & Termination
- We may suspend or terminate access for policy breaches, legal risks, fraud, or non-payment.
- You may close your account at any time, subject to completing active obligations.
- Sections intended to survive termination (e.g., IP, payments due, limitations, indemnity) will continue to apply.
17. Dispute Resolution; Governing Law
- Good-faith resolution: Contact info@yatrafleet.com to try to resolve issues informally first.
- Governing law: These Terms are governed by the laws of India.
- Jurisdiction: Subject to applicable law, courts in Varanasi, Uttar Pradesh, shall have exclusive jurisdiction.
- Arbitration (optional—confirm with counsel): Disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996; seat Varanasi; language English; one arbitrator appointed per rules agreed by parties.
18. Changes to these Terms
We may update these Terms from time to time. Changes become effective when posted on the Platform with the “Effective date” updated. Continued use after changes means you accept the revised Terms.
19. General
- Severability: If any provision is invalid, the remainder remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent; we may assign per applicable law.
- Entire agreement: These Terms plus referenced policies form the entire agreement regarding the Platform.
